Brother In Law Is Buying A Lemon Business, Is A Clause In A Contract Requiring Him To Pay The Full Amount Anyway Legal?

Location: California

So my brother in law got hooked up with this guy who runs an RV repair business a couple years ago, and my BIL is about 26 ish currently

Long story short, he signed some sort of contract where he is buying the repair business from him over a period of 6 or 7 years for $700,000, but it's not the building, it's not the lot, and he still has to pay rent at this dudes place every month for garage space

He's grossing about $200k a year, but can barely ends meet, and we can't do much mostly because he hasn't shared the contract with us yet.

As far as I can tell, the only real "asset" he's buying is the business name, which seems crazy to me.

From what he's told us (finally after two years) there is a clause in the contract where if he stops paying and doesn't want the business anymore, he's somehow still liable for the $700k, which personally seems shady AF to me

Does he have any real options, or is he just screwed to pay that one way or another?
